THREE HUNDRED EIGHTY-FOUR MILLION ONE HUNDRED AND THIRTY- FOUR THOUSAND SEVEN HUNDRED AND EIGHTY EIGHT (384,134,788) Class B convertible non-voting shares, having a par value of TEN CENTS ON THE EURO (€0.10) each, numbered consecutively from 1 to 384,134,788 which will be governed as expressly provided in article 8 of these Articles of Association and in accordance with articles 98 and following of the Capital Companies Act.

The capital is totally subscribed and paid up.

Such shares quote in the Stock Exchanges of Madrid, Barcelona, Bilbao and Valencia, through the Spanish Stock Exchange Interconnection System (“Sistema de Interconexión Bursátil Español”, SIBE).

The American Depositary Shares (“ADS”) representing Class A and Class B shares, quote in the New York Stock Exchange, subject to the right of ADS holders to apply from December 3, 2010 to the Depositary of such ADS (Citibank NA) the direct delivery of the shares and their consequent trading on the Spanish Stock Exchanges.
