Public Country by Country Report (on income tax information)

Introduction

The obligation to prepare this Report arises from the reform implemented by the eleventh additional provision of the Law on Auditing of Accounts. This establishes that certain companies and branches must prepare and publish a report on Corporate Income Tax with effect from the 2025 financial year. This Report must include information on activities, the number of employees, revenue, profits or losses, taxes accrued and paid, as well as accumulated earnings. The regulation establish that the Report must be approved and published within 6 months after the end of the financial year and deposited in the Mercantile Registry together with the Statutory Annual Accounts. Moreover, it must be accessible on the company's website for 5 years. This Report is similar to the Country-by-Country Tax Report declared to the Spanish tax administration using form 231 Country-by-Country informing (CBC/DAC4), although with this new Report the information becomes public as it is mandatory for it to be accessible through the group's corporate website.

The information included in this report depicts the group's information in accordance with the regulations applicable to the Corporate Income Tax Report (amendment to Law 22/2015 on Auditing of Accounts) introducing the obligation to prepare, publish, deposit and make accessible this Corporate Income Tax Report, as well as in the regulations applicable to the Tax Country-by-Country Report (mainly, article 14 of the Corporate Income Tax Regulations). Moreover, this information will be reported in form 231 for the financial year 2025 unless new guidelines or recommendations are published by the Spanish tax administration after the publication of this report and before the filing of said form 231. The definitions and considerations used for the preparation of this report are as follows. The Corporate Income Tax Report is prepared with aggregate information from the 2025 individual financial statements, homogenized in accordance with International Financial Reporting Standards (IFRS), of each of the group companies included in the consolidation by global integration in the Group's consolidated statements. The detailed information is broken down by Spain, Panama and the rest of the countries where we operate, as required by the applicable legislation. Revenues It includes the aggregation of all income included in the financial statements. Thus, in addition to income related to operating income and financial income, any other type of income should be included, for example, exchange differences: Nevertheless, dividends from related entities are excluded. Profit (loss) before corporate income tax It includes the aggregation of all pre-tax results included in the financial statements. Including extraordinary income and expenses and excluding dividends from related entities. Corporate income tax paid – on cash basis Income tax paid includes the amount of taxes paid in the year, including withholdings taxes paid.
